Kiosk Hardware Agreement

This Kiosk Hardware Agreement (the "Agreement") governs the kiosk software and any kiosk hardware supplied by Revyn Media ("we", "us"), an Alberta, Canada business (First Edmonton Place, 10665 Jasper Avenue, Edmonton, AB T5J 3S9, Canada), to the business that holds a Revyn Engine account ("you"). It forms part of, and is incorporated by reference into, our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service, the Privacy Policy and the Data Processing Addendum (DPA).
You accept this Agreement when you provision a kiosk, take delivery of a Kiosk Device, or use the Kiosk Software — whichever happens first. The person completing kiosk setup confirms they are authorized to accept it for your business. This is a business agreement: your guests are not parties to it, and nothing here changes the waiver, privacy notice or terms your venue presents to its own guests.
A condensed version of these terms is shown when a kiosk device is provisioned. That summary is for convenience; this document governs.
1. How this fits with our other agreements
The Terms of Service govern the platform as a whole and continue to apply in full. This Agreement adds the terms specific to kiosks. Where they conflict on the subject of kiosk software or kiosk hardware, this Agreement controls; on the subject of data protection, the DPA controls; on everything else, the Terms of Service control. Together with the Privacy Policy, the DPA and your order form, these documents are the entire agreement between us for the service.
2. What this covers
- Kiosk Software — the Revyn Engine check-in application, including the native iOS and Android app shells distributed through app stores or your mobile device management (MDM) system, the hosted web build it may load, the setup wizard, the device-control components (for example scheduled restart and screen-sleep controls on supported Samsung hardware), and all updates, configuration and documentation we provide for them.
- Kiosk Devices — any tablet, stand, enclosure, mount, card reader, receipt printer, wristband reader, cable, power supply or other equipment we supply to you for kiosk use, whether shipped, delivered on site, or provided as part of an onboarding or enterprise package, together with any replacement or accessory we later supply.
You may also run the Kiosk Software on tablets and readers you own or lease from someone else — for example a card reader you order directly from Stripe. Where you do, sections 5 through 8 and section 13 (which deal with Kiosk Devices) do not apply to that equipment, but the rest of this Agreement still does, and you remain responsible for the security, condition and lawful operation of your own equipment.
3. License to the Kiosk Software
Subject to this Agreement and to your account being in good standing, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable license, for the duration of your subscription, to install and run the Kiosk Software on kiosks you operate at the locations covered by your plan, solely to check in your own guests, collect waivers, and take payment at those locations. Each licensed location may run as many kiosks as your plan allows. The Kiosk Software is licensed, not sold; we and our licensors retain all right, title and interest in it, including all intellectual property rights. No rights are granted by implication.
4. Restrictions
You will not, and will not allow anyone else to:
- copy, distribute, sell, rent, lease, sublicense or make the Kiosk Software available to any third party, or use it to operate check-in for a venue that is not covered by your plan;
- reverse engineer, decompile or disassemble the Kiosk Software, or attempt to derive its source code, except to the extent applicable law expressly permits despite this restriction;
- modify the Kiosk Software, install modified or repackaged builds, or sideload an app package obtained from anywhere other than us or the app store or MDM channel we designate;
- remove, obscure or alter any proprietary notice, branding, asset tag, serial number or label on the Kiosk Software or a Kiosk Device;
- defeat or circumvent kiosk lockdown, single-app mode, screen pinning, MDM enrolment, device supervision, licence activation or the staff-PIN gate on the setup screen;
- root, jailbreak, unlock the bootloader of, re-image or factory-reset a Kiosk Device outside a procedure we provide or approve;
- use a Kiosk Device for anything other than operating the Kiosk Software and the directly related venue functions we support; or
- use the Kiosk Software or a Kiosk Device to breach, probe or disrupt the platform's security. Good-faith security research remains welcome through the responsible-disclosure process on our Security page.
5. Ownership of Kiosk Devices
Every Kiosk Device we supply remains our property at all times. All right, title and interest in each Kiosk Device — including its firmware, its preinstalled software, and any accessory or replacement part we supply — remains with Revyn Media. Supplying a Kiosk Device is a bailment for our mutual benefit: you receive possession and the right to use the device for the licensed purpose, and nothing more. It is not a sale, a conditional sale, a lease-to-own, a hire-purchase or an option to purchase, and no title passes to you at any point, regardless of how long you hold the device, how much you have paid us, or how any fee, deposit or hardware charge is described on an invoice or order form. Any amount you pay in connection with a Kiosk Device is a fee for its use, service and replacement — never a purchase price or an equity contribution toward one.
Accordingly, you will:
- not sell, transfer, assign, lend, sublet, pledge, mortgage or otherwise dispose of or encumber a Kiosk Device, and not grant or permit any lien, charge or security interest over it;
- keep each Kiosk Device free of the claims of your creditors, landlords, lenders and trustees, and, if anyone asserts a claim against or seizes a device, notify us promptly, identify the device in writing as the property of Revyn Media, and cooperate at our expense in recovering it;
- keep our labels, asset tags and serial numbers intact and legible, and add no marking that suggests the device belongs to you;
- keep each Kiosk Device movable personal property — it does not become a fixture, and you will not affix it to real property in a way that prevents removal without material damage. If you install a device in premises you do not own, you will, at our request, obtain your landlord's or mortgagee's written acknowledgement of our ownership; and
- allow us to file, at our cost, any financing statement, notice or registration (including under the Alberta Personal Property Security Act or its equivalent where the device is located) that we consider appropriate to evidence or protect our ownership. You appoint us as your attorney solely for that limited purpose, and you will sign any document we reasonably request for it.
We may inspect a Kiosk Device, or verify its location and condition, on reasonable notice during your normal business hours.
6. Care, risk and loss
- Care. You will keep each Kiosk Device in a secure, supervised area of your venue, use it in accordance with our setup documentation and the manufacturer's instructions, keep it powered and connected, and protect it from theft, tampering, liquid, extreme temperature and abuse.
- Service. Only we or a service provider we authorize may open, repair, modify or replace a Kiosk Device. Unauthorized service voids any warranty and any repair or replacement allowance under section 12.
- Risk of loss. Risk of loss or damage sits with you from the moment a Kiosk Device is delivered to you until it is received back by us or by the carrier we designate — even though title never leaves us. You will keep the device insured against loss and damage for its replacement value under your commercial property policy, and name us as loss payee for the devices on request.
- Reporting. Report any loss, theft, seizure or significant damage to support@revynengine.com within five business days, together with the incident or police report number where one exists, so we can lock or wipe the device.
- Replacement charge. If a Kiosk Device is lost, stolen, damaged beyond ordinary wear and tear, or not returned when due, you will pay the replacement value stated in your order form, or, if none is stated, our then-current published replacement charge for that device. Ordinary wear and tear, and hardware failures not caused by misuse, are on us.
- Movement. Kiosk Devices stay at the location they were provisioned for. Tell us before moving one to another of your locations, and get our written consent before moving one outside the country it was delivered in — device management, warranty and regulatory approvals are country-specific.
7. Updates and remote management
Kiosks are managed devices. You agree that we may, remotely and without further notice, deliver and install software, firmware, configuration and security updates; change or enforce device policy (including kiosk lockdown, scheduled restart, screen-sleep windows and battery-protection settings); read device status and diagnostics; and, where necessary, locate, lock, restart, disable or wipe a Kiosk Device. We use these capabilities only to operate, support and secure the kiosk, to enforce this Agreement, or to recover a device that is lost, stolen or overdue for return.
Where a Kiosk Device is enrolled in MDM or a device-licensing program, you will not remove or disable the enrolment, its supervision profile or its device licence. Updates may require a restart or brief downtime; we schedule them to avoid your operating hours where we reasonably can. Some kiosk features require a continuous internet connection, and the kiosk cannot take card payments while offline.
Tell your staff that kiosks are monitored and remotely managed. These controls are aimed at the device and its configuration, not at your people; we do not use them to monitor individual employees.
8. Your responsibilities at the venue
- Place kiosks safely and, where the law that applies to your venue requires it, accessibly — including reach, screen height and an equivalent staffed check-in path for guests who cannot use a kiosk.
- Control the staff PIN that gates the kiosk setup screen. The PIN, the location binding, the paired reader and printer details, and the kiosk's device identifier are stored on the tablet itself, so anyone with the PIN and physical access can reconfigure the kiosk — issue it only to staff who need it, and change it when someone leaves.
- Keep the kiosk's configuration accurate: the correct location, the correct card reader, and the correct waiver, consent and pricing content, which you control from the dashboard.
- Provide the power, network and physical security the kiosk needs, and supervise the kiosk area during opening hours.
- Comply with the laws that apply to your venue's use of the kiosk, including accessibility, consumer-protection, payment and privacy law.
9. Payments at the kiosk
In-person card payments run through Stripe Terminal readers registered to your Stripe connected account, under Stripe's terms. The kiosk never handles cardholder data: it sends the cart to our API, and the reader captures and encrypts the card itself. You are responsible for keeping readers physically secure, inspecting them for tampering or substitution, and meeting the PCI DSS obligations that apply to you as the merchant of record. Where we supply a reader, it is a Kiosk Device and sections 5 through 8 apply to it; where you obtain a reader directly from Stripe or another supplier, it is yours and those sections do not.
10. Guest data collected at the kiosk
Personal information your guests enter at a kiosk — check-in details, waiver content and signatures, contact details and payment metadata — is Controller Personal Data under the DPA: you are the controller and we are your processor, on the same terms as the rest of the platform. The kiosk transmits that data to the platform; what it retains locally is kiosk configuration and the current session, not a guest database.
Because a kiosk is unattended and public-facing, you are responsible for presenting an accurate privacy notice and waiver at the kiosk, for having a lawful basis for what you collect (including valid parent or guardian consent for minors' waivers and any consent your jurisdiction requires for marketing opt-ins offered at check-in), and for positioning the screen so one guest's information is not readable by the next person in line. Guest-data rights requests are handled through the platform's export, correction and erasure tools, as described in the Terms of Service.
11. Fees
The Kiosk Software is included in your subscription. Kiosk Devices are supplied on the terms and at the fees, deposits or hardware charges stated in your order form; where nothing is stated, devices are supplied for use during your subscription at no separate charge. Deposits are held against loss, damage and non-return and are refunded, less any amount properly applied, after the devices come back. Fees under this Agreement are billed and refundable on the same basis as other fees under the Terms of Service, and no fee, however described, transfers ownership of a device to you.
12. Warranties and support
We warrant that Kiosk Devices are, when delivered, in good working order and fit for kiosk use. If a device fails during your subscription other than through misuse, unauthorized service or an excluded cause under section 6, we will repair or replace it at no charge, and we will pass through any transferable manufacturer warranty. That repair-or-replace remedy is your exclusive remedy for a defective device.
The Kiosk Software is provided "as is", without warranties beyond those that cannot be disclaimed — the same standard as in the Terms of Service. We do not warrant uninterrupted or error-free operation, and kiosk availability depends on your power, network and hardware environment, and on third-party services such as Stripe. You are responsible for the legal effectiveness of the waivers your venue collects at a kiosk; the platform records signatures but does not provide legal advice, and waiver enforceability varies by jurisdiction. Keep a staffed check-in path available so a kiosk outage does not stop your operation.
13. Term, return and termination
This Agreement starts when you first accept it and runs until your subscription ends or we or you terminate it. It terminates automatically when the Terms of Service terminate. We may also suspend or terminate it, or recall Kiosk Devices, on notice for material breach of this Agreement or the Terms of Service, or for non-payment.
When this Agreement ends, or when we recall a device:
- your license to the Kiosk Software ends and you will stop using it and remove it from your own equipment;
- you will return every Kiosk Device within 15 days, in the condition it was supplied apart from ordinary wear and tear, with all accessories, using the prepaid shipping method we provide or by making the devices available for collection at your venue during business hours;
- you do not need to wipe a device before returning it — we do that on receipt — but you will not attempt to remove its management enrolment;
- we may remotely lock, disable or wipe any Kiosk Device that has not been returned when due, and charge the replacement value under section 6; and
- your guest data is handled under the Terms of Service, including the 30-day export window, and under the DPA — returning a device does not delete anything from the platform.
Sections 5, 6, 11, 13, 14 and 15 survive termination, along with any other provision that by its nature should survive.
14. Liability and indemnity
The liability limits and exclusions in the Terms of Service apply to this Agreement and are not increased by it: our total liability across all of our agreements with you remains capped at the fees you paid us in the twelve months before the claim. That cap does not limit your obligations to pay for, return, or bear the risk of Kiosk Devices under sections 6 and 13, and it does not limit liability for fraud, willful misconduct or gross negligence.
You will indemnify us against third-party claims arising from your use or operation of a kiosk that breaches this Agreement, from your unauthorized use or disposal of a Kiosk Device, from any lien or seizure of a Kiosk Device caused by your creditors or landlord, and from injury or damage caused by the placement, installation or condition of a kiosk at your venue, except to the extent the claim arises from a defect in a device as delivered or from our own negligence.
15. General
You may not assign this Agreement, or transfer possession of a Kiosk Device, without our written consent; we may assign it together with the Terms of Service. This Agreement, and any dispute arising out of it, is governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, and the parties attorn to the exclusive jurisdiction of the courts of Alberta sitting in Edmonton — except that either party may seek injunctive relief, and we may seek recovery or repossession of a Kiosk Device, in any court of competent jurisdiction where the device is located. If any provision is found unenforceable, the rest remain in effect.
We may update this Agreement; material changes will be notified in-app or by email at least 30 days before they take effect, on the same terms as changes to the Terms of Service, and continued use of a kiosk after that constitutes acceptance.
